We advised Biosafe on the acquisition of Regal’s consulting business

We provided end-to-end transaction support to Biosafe, from the initial discussions and valuation through to the letter of intent (including the related consultancy agreement) and the final transaction agreement, alongside buy-side business and legal due diligence.

The transaction had a clear cross-border dimension, requiring coordination between Finnish and Dutch legal and tax frameworks, including working through the VAT treatment of the business transfer.

Our team was led by Henri Falck, together with Juha Ilola and Amos Iirola, with Otto Michelsen supporting on legal due diligence and Jussi Aranne advising on tax matters. On Dutch law and tax questions, we worked closely with colleagues in our Amsterdam office, Zoya Zalman (tax), Pieter Paul Terpstra and Ginou van den Berg.
