Eversheds Sutherland advises JAS on strategic acquisition of Pentagon HoldingsJuly 29, 2025 Eversheds Sutherland has advised global logistics leader JAS on its acquisition of Pentagon Holdings Limited, a UK-headquartered provider of specialised freight forwarding, project logistics, and critical supply chain solutions for the oil and gas, energy, marine, and construction industries. Pentagon operates a global platform, with over 1,200 employees operating out of 65 locations across 34 jurisdictions, including the UK, USA, Australia, Singapore, Italy, Brazil, China, and the UAE. JAS, a global leader in logistics and supply chain solutions, was founded in Milan, Italy, in 1978 and is now supported by 7,000+ team members in more than 100 countries. Pentagon’s expansive footprint and operational complexity made this a landmark cross-border transaction which, once closed, is anticipated to combine these global networks with a comprehensive portfolio of leading logistics solutions. Eversheds Sutherland acted as sole external counsel to JAS, delivering the transaction through a globally coordinated “round-the-sun” model. The global law firm advised on all elements of the deal including comprehensive global due diligence, negotiation of all transaction documentation as well as antitrust analysis and regulatory filings in a number of jurisdictions. Led by UK-based M&A partner Lee Harris, the core multi-jurisdictional team comprised: M&A partners Bob Pile, Hill Jeffries (US), Charles Butcher and Chaz Kittrell (Asia), together with International Head of Corporate Antony Walsh, M&A Principal Associate Hannah Kaye and M&A Senior Associate Robyn Thompson (UK). Partner Claire Morgan (UK) led on the Competition and Foreign Investment matters.
