ESAPA Client eNewsletter - December 2023December 10, 2023 Hong Kong SARContributed by Eversheds Sutherland Recent Update on Sanctions Clause Judgment - Can Financial Institutions Fully Offload the Sanctions Risk in Documentary Credit Transactions onto Its Clients by Sanctions Clauses? In the Singaporean case Kuvera Resources Pte Ltd v JP Morgan Chase Bank, N.A. [2023] SGCA 28, the Court of Appeal overturned the decision of the High Court, holding that a sanctions clause in the context of a letter of credit should be construed strictly and objectively, whilst reaffirming the underlying nature of documentary credit transactions. Implementation of Phase 2 of Unique Business Identifier and Revision of Specified Forms and Administrative Form The Hong Kong Government is implementing Phase 2 of the Unique Business Identifier (UBI) system, through which the Business Registration Number is to be adopted as the UBI for different entities including limited companies. This will enhance communication and data exchange across government departments and businesses, and is in line with Hong Kong's position as an international financial centre. As part of Phase 2, 117 specified forms and an administrative form for filing with the Companies Registry of Hong Kong have been revised for use from December 27, 2023 onwards. Make sure to stay ahead by adopting UBI and using the revised forms for filing. HKEX Consultation on GEM Listing Reforms Recognizing a decline in the number of new listings and funds raised on GEM (formerly known as the Growth Enterprise Market, which is the HKEX’s second board) since 2019, The Stock Exchange of Hong Kong Limited (HKEX) published its long overdue Consultation Paper on September 26 to gather market feedback on proposed listing reforms for GEM. China releases Draft Regulations on the Standardisation and Promotion of Cross-Border Data Flow On September 28, Cyberspace Administration of China (CAC) released the 'Draft Regulations on the Standardisation and Promotion of Cross-Border Data Flow' for public consultation. The consultation is due to conclude on October 15, 2023. The Draft Regulations propose new exemptions to the current cross-border data transfer requirements, including the CAC security assessment, execution and filing of SCCs, and certification by CAC-accredited agencies. This article discusses the proposed exemptions and the implications of the Draft Regulations for multinational companies that have been (busily) working towards complying with the then-current cross-border data transfer requirements -- or rather, after the release of the Draft Regulations, those that are now questioning whether they are exempted. RBI Notifies Directions for Regulation of Payment Aggregators – Cross Border On 31 October 2023, the Reserve Bank of India (RBI) issued the circular on ‘Regulation of Payment Aggregator – Cross Border (PA – Cross Border)’ addressed to all payment system providers and payment system participants. This follows the draft circular on ‘Processing and settlement of small value Export and Import related payments facilitated by ‘Online Export-Import Facilitators’ issued by the RBI on 7 April 2022. Read full article here. India AI Report 2023 On 14 October 2023, the Ministry of Electronics and Information Technology published the India AI Report 2023 (Report). The Report is a collaboration of seven working groups which provided practical considerations and recommendations on India's artificial intelligence (AI) ecosystem. The aim is to make 'governance smarter and more data-led'. According to the Report, AI is expected to add USD 967 billion to the Indian economy by 2035 and USD 450–500 billion to India's GDP by 2025 (10% of the country's USD 5 trillion GDP target). The Report builds upon the already existing initiatives such as the Draft National Data Governance Policy 2022, to augment a nationwide AI ecosystem. India has a mission-centric approach towards building a national AI ecosystem, with the objective of 'AI for All'. The Report is an important development in laying out the infrastructure and recommendations for this ecosystem. Recent measures undertaken by the Government in this domain have placed India at the fifth spot, globally, in the value of private investment in AI and in the number of newly funded AI companies, in the Stanford AI Index Report 2023. SEBI's Enhanced UBO Disclosure Framework for Select FPIs and the Proposal to Expand Market Access for NRIs and OCIs through IFSC, GIFT City On 10 August 2023, the Securities and Exchange Board of India (SEBI) introduced an amendment (Amendment) to the SEBI (Foreign Portfolio Investors) Regulations 2019 (FPI Regulations), allowing SEBI the additional right to demand granular disclosure of Ultimate Beneficial Owners (UBOs) based on ownership, economic interests and control for those Foreign Portfolio Investors (FPIs) which meet the criteria specified by SEBI from time to time. Subsequently, SEBI by way of its Circular No. SEBI/HO/AFD/AFD-PoD-2/CIR/P/2023/148 dated 24 August 2023 has outlined an objective criteria for imposing additional disclosure requirements on FPls for identifying and disclosing its UBOs. In the Drone Readiness Index 2023 - which measures the extent to which a country has in place the infrastructure and other factors to support drone projects - Malaysia is ranked as the top Southest Asian Country, achieving a 100% readiness rating in 3 out of the 6 categories in which the DRI is measured. Drones were initially commonly used for aerial photography and videography.
