He advises clients across a variety of industries on matters including post-closing and ownership disputes, breaches of contract and business torts, corporate governance, antitrust issues, school funding, and constitutional law. Lee has handled cases in state and federal courts and has represented clients in arbitration, at trial, and on appeal. He has also defended clients in class actions and complex multidistrict litigation.
In post-closing and ownership disputes, Lee has represented buyers, sellers, shareholder representatives, minority and majority equity holders, company leaders, and fund managers. He has experience with buy-sell litigation, changes of corporate control, and various purchase-price and working-capital adjustments, as well as alleged breaches of representations and warranties and indemnification claims.
Lee also works closely with clients in the energy industry, particularly distribution and generation and transmission electric cooperatives appearing before courts or state regulatory commissions. Lee has represented cooperatives in territorial matters, member and co-owner disputes, and high-stakes litigation related to power-generating assets.
Lee’s education experience includes representing state governments and officials in constitutional funding and policy litigation, defending and pursuing claims against major metropolitan school districts, and advising public and private schools on business disputes and governance issues.
