Our acquisition and restructuring experience includes advising:
- a global diversified specialty chemicals company on its strategic acquisition of a global provider of specialty chemicals for the surface finishing industry. We provided pan European tax advice, advising on the tax implications of the acquisition and employee incentivization and drafting and negotiating tax provisions in the sale documentation (tax warranties and tax covenant)
- a British aero-engine manufacturing business on the strategic sale of its Norwegian maritime engine business. The team advised on tax aspects of the pre-sale structure, the tax consequences of the sale and the tax aspects of the transaction documents, including tax covenants and tax warranties
- the UK’s largest long-term savings and retirement business on the UK tax consequence of buy-ins, covering multiple different structures, worth over £1bn in aggregate. Including detailed advice on direct tax, withholding taxes (including the application of double tax treaties), stamp taxes, VAT, IPT and DAC6, including analysis of the collateral arrangements in each case. We also assisted with the negotiation of the transaction documents to ensure that our advice was reflected and the risks allocated appropriately
- a French-based, world leading satellite operator, on its high-profile equity investment into a UK Government-backed satellite company constructing a network of 648 low orbit satellites. We provided advice on the complex UK tax implications of the investment including the structuring and associated equity instruments
